iCat Terms of Service

These Terms of Service (“Terms”) govern access to and use of the iCat software platform, services, and website (collectively, the “Services”) provided by iCAT Solutions Inc. (“iCat”, “us”, or “our”). By accessing or using our Services, you (“Client”, “you”, or “your”) agree to be legally bound by these Terms. If you do not agree, you may not access or use the Services.
1. Scope and Access
Our Services are intended for business use only. By using iCat, you represent and warrant that you are acting on behalf of a business entity and have authority to bind that entity to these Terms.
We grant you a non-exclusive, non-transferable, limited license to access and use the Services in accordance with your subscription and these Terms.
Authorized Users and Responsibility
By accepting these Terms, you represent and warrant that you are authorized to act on behalf of your company or organization. You are responsible for all activity under your account, including actions taken by your employees, contractors, or any other individuals you grant access to the Services. These Terms apply to all users operating under your account, even if only one individual formally accepts them.
2. Client Responsibilities
You are solely responsible for:
- Ensuring all content uploaded to the platform, including photographs and descriptions of belongings, is collected and used in accordance with applicable laws and the rights of your own customers (e.g., homeowners).
- Obtaining any required consents from individuals whose belongings are photographed or whose personal information is processed.
- Ensuring that your users (employees, contractors, etc.) comply with these Terms and your local legal obligations.
3. Use of Customer Data
iCat processes data, including images and geographic information such as postal codes, to deliver platform functionality, including:
- Geo-localized pricing and depreciation
- Tax code localization
- Insurance valuation support
We do not use contact, billing, or payment data for AI training or external use. You retain ownership of your content, subject to the license granted in Section 5 below.
4. Access by Support Teams
If you contact our support team, you authorize iCat’s staff to access your account and associated data as needed to resolve the issue. This access is strictly limited to support purposes and always initiated by you.
5. License to Uploaded Data
By submitting content to the platform, you grant iCat a non-exclusive, royalty-free, worldwide license to use, store, process, and display that content solely to provide and improve the Services. You represent that you have the right to grant this license.
5A. Client-Uploaded Content and Data Ownership
You are solely responsible for all materials you upload to the Services, including but not limited to custom price lists, documents, data files, and third-party references. You represent and warrant that you have the legal right to upload, use, and share such content, and that doing so does not violate any third-party intellectual property rights, license terms, or confidentiality obligations.
You retain ownership of all uploaded materials, but by uploading them to the platform, you grant iCat a limited license to store, access, use, and process that content solely to deliver and improve the Services.
This includes the use of uploaded materials — such as price lists, inventory rules, depreciation schedules, or configuration documents — to enable or improve AI-powered tools, to ground automated system responses, or to localize outputs such as pricing, tax rates, or cleaning/service recommendations. iCat will not disclose these materials externally or use them for purposes unrelated to your service experience.
iCat does not validate or verify the legality of client-uploaded content and disclaims any responsibility for materials you submit. You agree to indemnify and hold harmless iCat from any claims, damages, or liabilities arising out of or related to the use, upload, or sharing of third-party content you do not have proper authorization to use.
6. Subscription, Billing & Termination
Your use of iCat Services may be subject to a paid subscription agreement. Subscription terms (including billing cycles and pricing) are governed by your service contract or invoice.
- Prepaid access is non-refundable.
- Either party may terminate with 30 days’ notice prior to renewal.
- iCat may suspend or terminate access for non-payment, misuse, or violation of these Terms.
Upon termination, your access will be revoked. You may request to archive your data prior to termination. All archived or stored data may be deleted from our systems within 3–6 months unless otherwise agreed.
7. Acceptable Use and Restrictions
You agree not to:
- Share access credentials outside your business
- Use a single license across multiple locations without purchasing additional licenses
- Attempt to reverse engineer, resell, or sublicense any part of the Services
- Violate intellectual property rights of iCat or third parties
8. Ownership
All intellectual property related to the Services, including source code, software, logos, documentation, and templates, is owned by iCat or its licensors. Except as explicitly stated, these Terms grant no rights to use our trademarks or proprietary materials.
9. Disclaimers and Limitation of Liability
The Services are provided “as is” and “as available.” We do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, iCat disclaims all warranties and limits our total liability to the amount you paid in subscription fees in the 12 months preceding the claim.
We are not liable for:
- Lost profits, business interruption, or indirect damages
- Data loss due to client-side actions or termination
- Unauthorized access caused by your negligence
9A. AI-Generated Outputs and Responsibility
Some features of the Services utilize artificial intelligence (AI) to assist with tasks such as inventory classification, valuation estimates, depreciation schedules, pricing suggestions, and tax calculations. These outputs are generated based on system logic, rules, and available data, including information uploaded by you.
You acknowledge and agree that:
- AI-generated results are provided for informational and operational support purposes only.
- iCat does not guarantee the accuracy, completeness, or suitability of any AI-derived data.
- It is your responsibility to review, verify, and approve all outputs before relying on them for reporting, valuation, settlement, or other business decisions.
iCat shall not be liable for any losses, errors, or omissions arising from unverified reliance on AI-generated outputs.
10. API Access and Integrations
iCat may offer API access or integrations with third-party systems (e.g., estimating platforms, CRMs, insurance systems). If you use these integrations, you are solely responsible for:
- Ensuring you have the right to access and exchange data with those third-party systems
- Verifying that API keys or credentials are securely stored and not shared inappropriately
- Confirming any external system’s accuracy, reliability, and legal compliance
By enabling or using an API integration, you authorize iCat to transmit or receive data on your behalf. iCat is not liable for errors, data loss, system conflicts, or damages arising from third-party platforms or your use of external APIs.

11. Third-Party Data and Links
Any links, tools, or data feeds from third parties are used at your own risk. iCat does not endorse or control third-party sites or services.
12. Modifications
We may update these Terms at any time. Material changes will be communicated through the platform or by email. Continued use after changes constitutes your acceptance.
13. Governing Law
These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein. Disputes shall be resolved in the courts of Ontario.
14. Entire Agreement
These Terms, together with your service contract and our Privacy Policy, form the entire agreement between you and iCat. If any provision is held unenforceable, the remainder will remain in effect.
